1. Acceptance of Terms

By downloading, installing, accessing, or using the ReachTo App mobile application or any of its associated services, you ("User", "Client", "You") agree to be bound by these Terms and Conditions. These Terms constitute a legally binding agreement between you and Ascent24 Technologies LLP ("The Company", "We", "Us", "Our").

The following terminology applies to these Terms and Conditions, Privacy Statement, and Disclaimer Notice: "Client", "You" and "Your" refers to you, the person accessing this application and accepting the Company's terms. "Party", "Parties", or "Us" refers to both the Client and ourselves. All terms refer to the offer, acceptance, and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner, for the express purpose of meeting the Client's needs in respect of provision of the Company's stated services, in accordance with and subject to prevailing law of India.

If you do not agree to these Terms, please do not access or use our Services. Your continued use of ReachTo App after any modification constitutes acceptance of the revised terms.

2. Description of Services

ReachTo App is a plug-and-play mobile softphone dialer — a product of Ascent24 Technologies LLP — that connects to your existing Twilio account and enables outbound and inbound calling through Twilio's Voice API. Our Services include:

• Mobile softphone dialer for Android devices, with iOS coming soon
• Twilio number management and caller ID configuration
• Business call routing, recording, and log capabilities
• Team seat management and multi-agent calling profiles

3. Eligibility

You must be at least 18 years of age to use our Services. By agreeing to these Terms, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

Our Services are intended for business or professional use. If you are using ReachTo App on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. User Accounts & Twilio API Credentials

To access ReachTo App, you configure the application using your Twilio API credentials (Account SID and Auth Token). ReachTo App never requests, collects, or stores your Twilio login password. The Service only utilizes API credentials (Account SID and Auth Token) generated by you in your own Twilio Console dashboard. You are solely responsible for:

• Maintaining the confidentiality of your mobile device and Twilio API credentials
• All activities and calls that occur under your Twilio account
• Ensuring your Twilio account remains active, funded, and compliant with Twilio's policies
• Immediately revoking or rotating your Auth Token in your Twilio Console if you suspect unauthorized access

All API credentials are encrypted directly on your local mobile device and are never collected or stored through this marketing website.

5. Twilio Integration & Third-Party Dependencies

ReachTo App operates as a front-end interface to Twilio's Voice and Messaging services. You acknowledge and agree that:

• Your use of telephony features is subject to Twilio's Terms of Service and Acceptable Use Policy
• Call charges, number rental fees, and carrier surcharges are billed directly by Twilio to your Twilio account
• We are not responsible for Twilio service outages, rate changes, or account suspensions
• You must maintain a funded Twilio balance to enable calling functionality
• Number porting, provisioning, and CNAM/caller-ID settings are governed by Twilio and applicable carrier regulations

6. Acceptable Use Policy & Country Rules Compliance

You agree not to use ReachTo App to:

• Violate Country Rules: Fail to comply with the local rules, regulations, and laws of your respective country. If any violation occurs, the Company (Ascent24 Technologies LLP) is not responsible or liable under any circumstances.
• Make or facilitate robocalls, spam calls, or unsolicited telemarketing to individuals who have not given prior consent
• Violate the TCPA, CAN-SPAM Act, GDPR, IT Act 2000 (India), or any applicable telecommunications law
• Impersonate any person, organization, or entity through caller ID spoofing
• Conduct call fraud, traffic pumping, or any form of telecommunications abuse
• Transmit malware, phishing content, or otherwise harmful materials
• Harass, threaten, or harm any individual
• Use the service for emergency services (112/911) as a primary means — ReachTo App is not a certified emergency calling platform

Violation of these policies may result in immediate account suspension and reporting to relevant authorities.

7. Subscription & Billing

ReachTo App offers both free trial access and paid subscription plans. Subscription terms include:

• Free Trial: A limited 10-minute interactive trial of the dialer dashboard is available without account creation. Full functionality requires a connected Twilio account.
• Paid Plans: Monthly or annual subscription fees are charged in advance. Prices are listed on our Pricing page and subject to change with 30 days' notice.
• Refunds: Due to the nature of digital products, all sales are final. We do not offer refunds or returns once a purchase has been made, except where required by applicable law. If you cancel mid-period, access continues until the end of the billing cycle.
• Twilio Costs: Call usage charges are billed directly by Twilio and are separate from ReachTo App subscription fees.

We recommend reviewing product details, features, and compatibility before making a purchase. If you experience any technical issues, our support team is available to assist you.

8. Termination

Either party may terminate this agreement at any time. You may cancel your subscription through your account settings or by contacting our support team. We reserve the right to suspend or terminate your account without notice if:

• You materially breach these Terms or our Acceptable Use Policy
• We are required to do so by law or regulatory authority
• Your Twilio account is suspended, revoked, or flagged for abuse
• Your account engages in fraudulent or harmful behavior

Upon termination, your right to use the Services ceases immediately. We may retain certain data as required by law or for legitimate business purposes.

9. Cookies

We employ the use of cookies. By using Ascent24 Technologies LLP's website and the ReachTo App web dashboard, you consent to the use of cookies in accordance with Ascent24 Technologies LLP's Privacy Policy.

Most modern interactive websites use cookies to enable us to retrieve user details for each visit. Cookies are used in some areas of our site to enable the functionality of this area and ease of use for those visiting. Some of our affiliate or advertising partners may also use cookies.

10. License & Intellectual Property

Unless otherwise stated, Ascent24 Technologies LLP and/or its licensors own the intellectual property rights for all material in ReachTo App and on its associated website. All intellectual property rights are reserved. You may view and/or use the App for your own personal or business use subject to restrictions set in these Terms and Conditions.

You must not:

• Republish, sell, rent, or sub-license material from ReachTo App
• Reproduce, duplicate, or copy proprietary material from ReachTo App for commercial redistribution
• Reverse-engineer, decompile, or attempt to extract the source code of the App
• Remove or alter any proprietary notices, labels, or marks on the App

No use of Ascent24 Technologies LLP's logo or other artwork will be allowed for linking or promotional use absent a written trademark license agreement.

11. Hyperlinking & Iframes

The following organizations may link to our website without prior written approval: government agencies, search engines, news organizations, and online directory distributors when they list us in the same manner as other listed businesses.

If you are interested in linking to our website, you must notify us by sending an e-mail to info@ascent24.io. Please include your name, organization name, contact information, the URL of your site, and a list of URLs from which you intend to link. Allow 2–3 weeks for a response.

Without prior approval and express written permission, you may not create frames around our web pages or use other techniques that alter in any way the visual presentation or appearance of our website or App.

We reserve the right at any time and in our sole discretion to request that you remove all links or any particular link to our website.

12. Cancellation & Refund Policy

We strive to provide high-quality software solutions tailored to your needs. Due to the nature of digital products, all sales are final, and we do not offer refunds or returns once a purchase has been made.

We recommend reviewing product details, features, and compatibility before making a purchase. If you experience any technical issues, our support team at info@ascent24.io is available to assist you in resolving them.

13. Maintenance Service Policy

Ascent24 Technologies LLP provides maintenance services for ReachTo App under the following conditions:

Scope of Maintenance: Covers updates, bug fixes, and maintenance performed by Ascent24 Technologies on the ReachTo App hosted infrastructure. Includes minor bug fixes, security updates, and performance optimizations as per our standard maintenance agreement.

Exclusions:

• Any modifications, updates, or integrations performed by the client or a third party without consulting Ascent24 Technologies
• Issues caused by unauthorized changes or customizations made outside Ascent24 Technologies' development scope
• Recovery of app functionality due to misconfigurations, conflicts, or errors introduced by the client's team

Policy on Unauthorized Modifications: If the client makes changes beyond the agreed scope, Ascent24 Technologies will not be responsible for fixing issues arising from such modifications. Support requests related to these issues will be chargeable under a paid maintenance plan.

14. Disclaimer & Limitation of Liability

To the maximum extent permitted by applicable law, we exclude all representations, warranties, and conditions relating to ReachTo App and its use (including, without limitation, any warranties implied by law in respect of satisfactory quality, fitness for purpose, and/or the use of reasonable care and skill). Nothing in this disclaimer will:

• Limit or exclude our or your liability for death or personal injury resulting from negligence
• Limit or exclude our or your liability for fraud or fraudulent misrepresentation
• Limit any of our or your liabilities in any way that is not permitted under applicable law
• Exclude any of our or your liabilities that may not be excluded under applicable law

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ASCENT24 TECHNOLOGIES LLP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE REACHTO APP.

We shall have no responsibility or liability for any content appearing on your website. You agree to indemnify and defend us against all claims arising out of or based upon your use of the App in a manner inconsistent with these Terms.

These Terms and Conditions, along with any agreements, services, software, or solutions provided by Ascent24 Technologies LLP, shall be governed by and construed in accordance with the laws of India. Any dispute, claim, or legal proceeding arising out of or relating to the use of ReachTo App or these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Coimbatore, Tamil Nadu, India.

15. Changes to These Terms

Although most changes are likely to be minor, Ascent24 Technologies LLP may change its Terms and Conditions from time to time, and in Ascent24 Technologies LLP's sole discretion. We encourage users to frequently check this page for any changes. Your continued use of the App or website after any change will constitute your acceptance of such change.
